Rule 10.02(c)
director
has the meaning given in section 2(1) of the CMSA and includes any person who is or was within the preceding 6 months of the date on which the terms of the transaction were agreed upon -
(i)
a director
of the
listed corporation
, its subsidiary or holding company; or
(ii)
a
chief executive
of the
listed corporation
, its subsidiary or holding company.
