A Bhd, a listed issuer, is entering into a transaction with C Bhd. Mr X who is a director of a subsidiary of A Bhd, i.e. B Sdn Bhd, is also a director and a substantial shareholder of C Bhd. A Bhd has no holding company. Assuming that Mr X has no interest in A Bhd, is this a related party transaction?
